Terms of Service

These Terms of Service ("Terms") are an agreement between you and Veridical Tech, Inc. ("Veridical Tech," "we," "us," or "our"), a Delaware C corporation. They govern your access to and use of SPM, including SPM-Polaris, our websites, documentation, console, APIs, MCP server, and related services (collectively, the "Service").
By creating an account, accessing the Service, or using the Service on behalf of an organization, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind it, and "you" includes that organization.
1. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into these Terms. You must provide accurate account information, keep credentials and API keys secure, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account and for managing your organization's users and permissions.
2. The Service
SPM provides governed long-term memory infrastructure for AI applications, including provider proxy, memory ingestion, retrieval, evidence, compression, deletion, audit, and MCP capabilities. Features, limits, and availability may vary by plan. Documentation describes current behavior but is not a service-level commitment unless a separate written agreement says otherwise.
We may improve, modify, or discontinue parts of the Service. When a change materially reduces paid functionality, we will provide notice when reasonably practicable.
3. Customer Content and instructions
"Customer Content" means prompts, conversations, source text, memory records, evidence, configuration, and other material you or your users submit to or generate through the Service.
You retain your rights in Customer Content. You grant Veridical Tech a limited, non-exclusive license to host, copy, transmit, transform, and otherwise process Customer Content only as needed to provide, secure, support, and improve the Service, comply with law, and follow your authorized instructions.
You are responsible for Customer Content and must have all rights, permissions, notices, and lawful bases needed to process it through the Service. You control memory-writing, retention, provider routing, and deletion instructions available through your account. You must not submit sensitive or regulated information unless your use is lawful and the Service and your plan are appropriate for that information.
We do not use Customer Content to train third-party generative AI models on our own behalf. A customer-selected model provider may process content under that provider's own terms and settings.
4. External providers and integrations
The Service can route requests to model providers and integrations selected or configured by you. Those services are operated by third parties, and their terms, privacy policies, availability, safety controls, pricing, and output practices apply separately. You are responsible for your provider accounts, credentials, charges, configurations, and compliance with their terms.
AI and retrieval systems can produce incomplete, incorrect, or unsuitable results. Evidence, receipts, refusal states, and audit features reduce uncertainty but do not eliminate it. You are responsible for testing your implementation, reviewing outputs, and providing appropriate human oversight, especially for medical, legal, financial, employment, safety-critical, or other high-impact uses.
5. Acceptable use
You may not use the Service to:
- violate law, regulation, or another person's rights;
- transmit malware, evade security controls, probe vulnerabilities without written authorization, or interfere with the Service;
- access another tenant, account, or data set without authorization;
- disclose, extract, or misuse credentials, secrets, personal information, or confidential information;
- generate or distribute content that is unlawful, fraudulent, abusive, or designed to cause harm;
- resell or provide access to the Service in a way that bypasses plan limits or written commercial terms;
- misrepresent generated or retrieved information as verified when the available evidence does not support it; or
- use the Service for prohibited automated decisions or regulated activities without the lawful basis, disclosures, controls, and human review required for that use.
We may investigate suspected violations and suspend or restrict access when reasonably necessary to protect the Service, customers, or others.
6. Plans, billing, and taxes
Some features are free and others require a paid subscription or usage charges. Prices, billing intervals, included usage, overage rules, and applicable taxes are shown at checkout or in an order form. By starting a paid plan, you authorize us and our payment processor to charge the payment method on file on a recurring basis until cancellation.
Subscriptions renew automatically for successive periods matching the billing interval shown at purchase unless canceled before the next renewal date. You can cancel through the account or billing controls made available with the Service. Unless stated otherwise at purchase or required by law, fees are non-refundable, and cancellation takes effect at the end of the current paid period. You remain responsible for charges incurred before cancellation and for applicable taxes other than taxes based on our net income.
We may change prices for future billing periods by providing advance notice. Failure to pay may result in suspension or termination of paid features.
7. Intellectual property
Veridical Tech and its licensors retain all rights in the Service, software, documentation, designs, trademarks, and related technology, excluding Customer Content. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
If you provide feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use it without restriction or obligation, provided we do not identify you as its source without permission.
8. Confidentiality
Each party may receive non-public information identified as confidential or that reasonably should be understood as confidential. The receiving party will use it only to perform under these Terms, protect it using reasonable care, and disclose it only to personnel and service providers who need to know it and are bound by confidentiality obligations. These duties do not apply to information that is public through no fault of the receiving party, independently developed, rightfully received without restriction, or required to be disclosed by law.
9. Suspension, termination, and deletion
You may stop using the Service or close your account using available account controls. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or if continued operation becomes unlawful. Where practicable, we will provide notice and an opportunity to cure.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnity, and dispute terms. Active data is handled according to your deletion instructions and our Privacy Policy; residual copies may remain temporarily in backups, logs, or replicas until normal rotation or expiration.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." VERIDICAL TECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY OR SUITABILITY OF MODEL OUTPUTS, RETRIEVED CONTENT, EVIDENCE, OR THIRD-PARTY SERVICES.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
EXCEPT FOR YOUR PAYMENT OBLIGATIONS, YOUR INFRINGEMENT OR MISAPPROPRIATION OF OUR INTELLECTUAL PROPERTY, OR LIABILITIES THAT CANNOT LEGALLY BE LIMITED, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID TO VERIDICAL TECH FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
12. Indemnification
You will defend and indemnify Veridical Tech and its officers, directors, employees, and affiliates against third-party claims, damages, losses, liabilities, costs, and reasonable legal fees arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of law or another person's rights. We will provide prompt notice and reasonable cooperation, and you may not settle a claim in a way that admits fault by or imposes obligations on Veridical Tech without our written consent.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service, and each party consents to those courts. Nothing in these Terms prevents either party from seeking urgent injunctive relief in a court of competent jurisdiction.
14. Changes to these Terms
We may update these Terms as the Service or law changes. We will post the updated Terms with a new effective date and provide additional notice for material changes when required. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law. If you do not agree, you must stop using the Service.
15. General
These Terms, together with any order form and policies expressly incorporated into them, are the entire agreement about the Service and supersede prior discussions on that subject. If an order form conflicts with these Terms, the order form controls for that transaction. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. Neither party is liable for delay caused by events beyond its reasonable control.
